B. INTRODUCTION

1.These terms, including the Gate Creator Content Guidelines as set forth below (collectively, the “Terms”) relating to access to and use of Gate’s website for the whole “Moments” sections (“Platform”), is entered into between you, as a user of the Platform (“you”, “your” or “User”) and relevant Gate Operator as defined in the Gate User Agreement (“Gate”, “we”, our” or “us”). For clarity, these Terms apply to any and all persons who access and use the Platform, including (without limitation) users who we permit to post content on the Platform (in whichever language), and users who only access the Platform to view, like or re-post content on the Platform. Further, if you use the Platform on behalf of a company, organization, or other entity, then “you” includes you and that entity. You represent and warrant that (a) you are an authorized representative of the entity with authority to bind the entity to these Terms and (b) you agree to these Terms on the entity’s behalf.

2.You have the option to post, comment on, view, like, and/or re-post content (“Platform Content”) available on the Platform, subject to our permission. Your use and access to the Platform are contingent upon your agreement to these Terms (which may be updated periodically). by accessing or utilizing the platform in any manner (including, but not limited to posting content if permitted by us), you: (a) acknowledge that you have read, understood, and agreed to the provisions of these terms (including any amendments made from time to time), as well as any other relevant terms and conditions that may be incorporated herein; and (b) confirm that you are at least 18 years old or of legal age to enter into a binding contract and have full capibility for civil conduct under the laws that apply to you.

C. LICENSING

1.The Platform is owned and operated by Gate. Unless otherwise indicated, all content, information, and other materials on the Platform (excluding User Content, as defined below in paragraph 7), including without limitation Gate’s trademarks and logos, the visual interfaces, graphics, design, compilation, information, software, computer code (including source code or object code), services, text, pictures, data, sound files, other files, and the selection and arrangement thereof (collectively, the “Materials”) are protected by relevant intellectual property and proprietary rights and laws. All Materials are the property of Gate or its subsidiaries or affiliated companies and/or third-party licensors. Unless otherwise expressly stated in writing by Gate, by agreeing to these Terms you are granted a limited, non-sublicensable license (i.e., a personal and limited right) to access and use the Platform for your personal use or internal business use only.

D. USER CONTENT

1.As a user permitted by us to post content or comments on the Platform, and subject to these Terms, you will be allowed to create, post, transmit, perform, or store content, messages, text, images, or other data or materials on the Platform (“User Content”). For clarity, such User Content shall also include any comments posted by you, in response to User Content posted by others. All other users will be allowed to view, like, and re-post content available on the Platform. In all such instances, Gate retains the right, at its sole and absolute discretion: (i) to determine what content and which language is allowed for publication on the Platform; (ii) to edit, remove, take down, or block any content that is proposed to be published or had already been published on the Platform; and (iii) to terminate, suspend, or restrict any and all of your access rights and privileges to the Platform.

2.Unless agreed otherwise, and whether as a user permitted by us to post content or comments on the Platform or otherwise, you agree that: (A) All feedback, ideas, suggestions, and/or proposals submitted by you to us, in relation to the Platform (which includes, but is not limited to, matters relating to the quality of the Platform service and the scope of its offerings) belong to us in their entirety, and we have full rights and entitlement to use the same for any purpose without an obligation to make any compensation to you (including implementing these feedback, ideas, suggestions, and/or proposals for the purpose of improving the Platform service offerings). (B) If you submit, transmit, display, post, or store User Content using our Platform, you grant Gate and its sub-licensees an unrestricted, worldwide, irrevocable, fully sub-licenseable, nonexclusive, and royalty-free right to: (i) use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such piece of User Content (including without limitation for promoting and redistributing part or all of the Platform and derivative works thereof) in any form, format, media, or media channels now known or later developed or discovered; and (ii) use the name, identity, likeness, and voice (or other biographical information) that you submit in connection with such User Content. Should such User Content contain the name, identity, likeness, and voice (or other biographical information) of third parties, you represent and warrant that you have obtained the appropriate consents and/or licenses for your use of such features and that Gate and its sub-licensees are allowed to use them to the extent indicated in these Terms. Further, you also agree that other users of the Platform may (and we may allow these other users to) view, like, and/or re-post your User Content on other platforms. (c) You will not take, or omit to take, any steps or conduct yourself in such a manner as to cause us to breach any third-party intellectual property rights or cause us to be subject to any third-party intellectual property rights infringement claims. Further, and upon our request at any time, you also agree to provide us with evidence to prove (to our sole and absolute satisfaction) that you have complied fully with these Terms. The Terms include but are not limited to your obligations under this clause.

3.You are solely responsible for your User Content and the consequences of posting, publishing or re-posting it. You represent and warrant that: (1) you are the creator or own or control all right in and to the User Content or otherwise have sufficient rights and authority to grant the rights granted herein; (2) your User Content (or your re-post of the same) does not and will not: (a) infringe, violate, or misappropriate any third-party right, including any intellectual property rights, or (b) defame any other person. Gate reserves all rights and remedies against any users who breach these representations and warranties. To the fullest extent permitted by applicable law, you also agree to indemnify us and to hold us harmless from and against any claims, actions, proceedings, investigations, demands, suits, costs, expenses and damages (including attorneys’ fees, fines or penalties imposed by any regulatory authority) arising out of or related to your use of, or conduct in connection with, your access to and use of the Platform. For clarity, our right of indemnification under this clause: (1) is in addition to the rights and protections afforded to us under these Terms and any other applicable Policies or terms that are binding between the parties; and (2) includes a right to be fully indemnified against any third party claims that may arise in respect of and in connection with User Content submitted by you or your conduct generally (including re-posting User Content to other platforms), such as but not limited to claims relating to infringement of third party intellectual property rights.

E. COMPLIANCE

1.You agree to adhere to all applicable laws, rules, and regulations regarding User Content and your use of the Platform. You represent and warrant that you possess all necessary licenses, registrations, and approvals to post User Content on the Platform, if applicable.

F. CONDUCT

1.You agree that: (a) you are solely responsible for your behavior while accessing or using the Platform (including when posting content or comments on the Platform, viewing, liking, and/or re-posting content from the Platform to other platforms); (b) you will adhere to any additional terms and conditions (including any restrictions), of which you may be notified from time to time (which shall also be deemed incorporated into these Terms), relating to your access to and use of the Platform; and (c) if we have granted you permission to post content on the Platform, you will not grant such access rights to and will not permit any other person (not permitted by us) to post content on the Platform under your name. The use of accounts belonging to others to post content is strictly prohibited.

2.All users of the Platform (whether permitted by us to post content or comments on the Platform or not) must comply with these Terms, the Gate Creator Content Guidelines and any other requirements as may be notified by us from time to time. As such a user, you also agree in particular that you will not:

a.create, upload, transmit, distribute, or store any content that is prohibited by us (as may be notified to you from time to time) or content that is inaccurate, unlawful, infringing, defamatory, obscene, pornographic, invasive of privacy or publicity rights, harassing, threatening, abusive, inflammatory, or otherwise objectionable;

b.impersonate any person or entity; falsely claim an affiliation with any person or entity or engage in any other similar fraudulent activity;

c.send junk mail or spam to users of the Platform;

d.defame, harass, abuse, threaten, or defraud users of the Platform, or collect or attempt to collect personal information about users or third parties without their consent;

e.reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Platform or any part thereof;

f.interfere with or damage the operation of the Platform by any means, including uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code;

g.attempt to indicate in any manner, without our prior written permission, that we have endorsed you, your views or comments, or opinions, or any products or services mentioned by you for any purpose;

h.represent yourself as giving financial advice or instructions to viewers or followers on how to trade;

i.conduct yourself in a manner that may cause damage or harm to, or discredit, our or our brand’s reputation, or that may result in adverse publicity to us or our brand, or result in claims (third party or otherwise) against Gate;

j.engage in any behaviors that: (i) can mislead others or disrupt the order of the Gate community, such as batch registration, buying and selling accounts, generating false comments, likes, votes, or influence manually or through the use of a click farm program or machine; or (ii) seriously endanger the legitimate rights and interests of others and the Gate community generally;

k.use the Platform for any illegal purpose, or in violation of any applicable local, state, national, or international law or regulation, including without limitation laws governing intellectual property and other proprietary rights, data protection, and privacy;

l.share, post, or endorse any false or misleading information, or information that you know cannot be verified or substantiated;

m. make any false or fraudulent claims or statements, including but not limited to false or misleading statements about historical market performance (e.g., exaggerating or fabricating information/data, etc.);

n.post any fraudulent promotion, marketing information, or advertising, or content that is objectionable in our view, for the purpose of defrauding or misleading others, or as a means of seeking improper profits;

o.post information with the intent of manipulating the market;

p.publish potentially dangerous content or using third-party websites to forge jump links, such as phishing sites, trojans, virus sites, etc.;

q.provide or induce other users to engage in illegal or unethical activities; and r. force, induce, or hire other users to follow an account, click on a link, share information, or to like, share, or comment on any posts or article.

3.As a user with permission to post content or comments on the Platform, you further agree that without prior approval and authorization from us, you will not:

a.post or distribute any referral link of Gate or any competing exchange within your content;

b.direct promotions towards users in any specific country or region; and

c.upload any QR codes to the Platform. To clarify: (A) Marketing is allowed at our discretion, on the condition that it is not targeted at residents of any particular country. If a post is sponsored, you must clearly disclose this fact. (B) We retain the right to refuse, remove, or modify posts to ensure adherence to legal and regulatory standards, and/or to respond to any takedown requests submitted to us by third parties (including, but not limited to, those who assert ownership of the intellectual property rights to content you have posted). (C) The Gate Terms of Use that govern your use of your accounts and Gate services in general will continue to be in effect. This includes, without limitation, all guidelines applicable to account usage. Specifically, Gate accounts are for the exclusive use of the account registrants. Gate reserves the right to suspend, freeze, or cancel the use of Gate accounts by individuals other than the registered account holders. If you suspect or become aware of any unauthorized use of your username and password, you should inform Gate immediately.

G. EXCLUSION OF LIABILITY

1.Gate assumes no responsibility and shall not be liable for any User Content or your access to and use of the Platform, nor for any loss or damage arising therefrom. Gate is also not liable for any errors, defamation, slander, libel, omissions, falsehoods, obscenity, pornography, or profanity you may encounter while using (or after you have used) the Platform. Your use of the Platform (including for the purpose of posting your content, if permitted by us) is at your own risk. Furthermore, these rules do not confer any private right of action on any third party or imply any expectation that the Platform will be free of content prohibited by such rules. You agree that while we will take reasonable steps to prevent User Content from being subject to unauthorized copying, use, or redistribution by others, or to ensure compliance with these Terms, the Community Guidelines, and the Policies, we do not guarantee this and shall not be responsible for any losses or damage that may occur in the event of such unauthorized activities. You also acknowledge and agree to all relevant disclaimers and risk warnings pertaining to the Platform and your access or use thereof.

2.* TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Gate BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF USE, PROFITS, OR DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, ARISING FROM OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE ON ANY INFORMATION OBTAINED FROM Gate OR THE PLATFORM, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM EVENTS BEYOND Gate’S CONTROL, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION, OR UNAUTHORIZED ACCESS TO Gate’S RECORDS, PROGRAMS, OR SERVICES.

H. COPYRIGHT POLICY

1.Gate respects the intellectual property rights of others. If you are a copyright owner or an agent thereof and believe that any content on the Platform infringes upon your copyrights, please provide a notice to support@gate.com with the following information: a. Identification of the copyrighted work that you claim has been infringed; b. Identification of the material on the Platform that you allege is infringing, including a description of where it is located; c. Contact information for you, such as an email address and telephone number; d. An explanation and documentation supporting your claim that the use of the material in question is not authorized by the copyright owner, its agent, or the law; e. A statement that the information you have provided is accurate and that you are the copyright owner or are authorized to act on behalf of the copyright owner.

I. TRADEMARKS

1.Gate, the Gate logos, and any other product or service name, logo, or slogan used by Gate (including, but not limited to those related to the Platform), may not be used in whole or in part in connection with any product or service that is not Gate’s, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Gate, without our prior written permission.

J. TERMINATION, SUSPENSION AND RESTRICTION OF ACCESS OR USAGE RIGHTS & TAKE DOWN OF CONTENT POSTED OR PROPOSED TO BE POSTED

1.The rights outlined in this clause are supplementary to and without prejudice to any other rights that we may have under the Gate Terms of Use, or any other Policies and terms that may be applicable between us. We reserve the right to immediately terminate, suspend, or restrict your access and/or usage rights to the Platform (in whole or in part), and to edit, delete, or remove any User Content (or part thereof) that you may have submitted or posted (or are intending to submit or post) on the Platform at any time, at our sole and absolute discretion, and for any duration we deem appropriate, with or without cause. Any such decision by us will be final and not subject to appeal. Furthermore, we also have the right to immediately terminate, suspend, or restrict your access and/or usage rights to the Platform (in whole or in part), and to edit, delete, or remove any User Content (or part thereof) that you may have submitted or posted (or are intending to submit or post) on the Platform if we have reason to believe that: (i) you have engaged in (or are planning to engage in) unlawful activities using the Platform; (ii) your transmission of the User Content or your conduct infringes or violates any applicable laws and regulations, third-party intellectual property rights, the terms and conditions applicable to you (including, without limitation, these Terms, the Community Guidelines, the Gate Terms of Use, and any other Policies), or any other requirements that Gate may impose from time to time; or (iii) your User Content contains any material that we deem inappropriate, considering Gate’s principles and core values. To clarify, our rights under clause J: (a) include the right to immediately restrict or remove any content; and (b) may be exercised by us at any time, in response to any take-down requests submitted to us by third parties (such as those who claim to be the rightful intellectual property rights owners of content you have posted).

K. GENERAL

1.These Terms, written in the English language, may be translated into other languages. In the event of any conflict between this English language version and other translated versions of these Terms, the English language version shall prevail.

L. COMMUNITY GUIDELINES

1.Users of the Platform (whether or not you are permitted to post content or comments) are expected to follow these guidelines. These are practical guidelines for all users and their activities related to accessing and using the Platform. We will periodically update this document in response to the evolution of the Platform community and services, and these terms shall be considered part of the Gate Platform Terms and Conditions, to which you agree to be bound.

2.To preserve the Platform community, we reserve the right to deactivate any account or deny access to any user at any time for behavior deemed inappropriate or harmful. This may include actions such as deleting content and revoking access and usage rights.

3.Please review these Community Guidelines and all other applicable terms carefully. Continuing to access or use the Platform indicates your acceptance of our Community Guidelines and the relevant terms. If you disagree the following conditions, you should cease accessing and/or using the Platform:

a.Illegal Behavior When using our Platform, you must adhere to all applicable local, national/regional, and international laws. Content or activities that promote illegal activities, encourage, facilitate, or assist others in participating in illegal activities are forbidden. You also agree to promptly follow any additional instructions we may provide regarding your use of the Platform, including but not limited to the type of content or the removal of links you may have included in your content or comments on the Platform, to ensure compliance with legal and regulatory requirements.

b.Self-Destructive Behavior Any behavior that threatens one’s own life or bodily harm is prohibited. This includes suicide threats, intentional self-harm, the use of illegal drugs, excessive drinking, or dangerous driving. No exceptions will be made for such behaviors if they are intended for stunts, pranks, or entertainment.

c.Calling Trades With Improper Intent Recommending digital currencies listed on Gate, making trade calls, and urging users to buy specific currencies with the intention of manipulating the market is strictly forbidden. You also agree to comply with any additional terms and conditions or guidelines (including restrictions) that may be communicated to you from time to time and which are considered part of these Terms.

d.Directing Behavior Excessive promotion or directing users to Gate’s direct and indirect competitors is not allowed.

e.Violence/Threats Content that depicts, glorifies, admires, or supports terrorist or violent extremist acts is prohibited, as are threats or encouragement of acts that could cause serious bodily harm or significant property damage.

f.Hateful Behavior and Harassment Hateful behavior and harassment, whether through language or actions, are not tolerated. This includes content or activities that promote discrimination, degradation, harassment, or violence based on race, ethnicity, color, caste, ancestry, immigration status, religion, sexual behavior, gender, gender identity, sexual orientation, disability, serious illness, veteran status, etc. You must not engage in behavior that humiliates, abuses, attacks, disrespects, harasses, intimidates, threatens, or slanders other users, or incites conflict within the Gate community or the Platform.

g.Protect Your Identity We want users to feel secure when sharing content on the Platform. Please inform us if any content violates your privacy or safety. If your personal information is posted without your consent, ask the poster to remove it. If you cannot reach an agreement or feel uncomfortable contacting them, you can request removal by contacting us at dpo@gate.com, providing a detailed explanation of the situation. The DPO team will review the case.

h.Protecting Your Privacy on the Platform Consider carefully what you share on the Platform, including personal information like your location, financial details, and contact information. Protect your account data and do not share your passwords with others. Gate employees will never ask for your passwords, and be cautious of anyone claiming to be from Gate.

i.Unauthorized Sharing of Personal Information Sharing content that reveals another person’s private information or property without permission is forbidden. This includes sharing personal identification information, restricted social media profiles, or any private content belonging to others.

j.Impersonation Impersonating another individual or organization’s content or activities is prohibited. Impersonating Gate personnel will not be tolerated and will result in a ban.

k.Nudity, Pornography, and Other Obscene Content Nudity, pornography, sexual acts, and other obscene content are prohibited. Content that threatens or promotes sexual violence or abuse is strictly forbidden.

l.Violence and other indecent or improper acts and conduct Content that promotes or references violent, indecent, or improper acts is not allowed.

m.Intellectual Property Sharing content on the Platform without the copyright owner’s permission or legal authorization is prohibited. This includes content from other Platform creators, pirated games, unauthorized private server content, movies, TV shows, sports events, and music you do not own or have the right to share.

n.Independent Views and Opinions. Under no circumstances should you suggest, without our explicit prior written consent, that you are an employee of Gate or that we endorse your views, opinions, or any products or services you mention for any reason.

Gate Creator Content Guidelines

Please note that these guidelines apply to the whole “Gate Moments” sections (“Platform”), including but not limited to "Gate Post", "Gate Live Stream", "Gate News", "Gate Blog" and other applicable part.

These guidelines, along with the Gate Gate Moments - Terms and Conditions and any announcements that Gate may issue periodically, shall apply to all users of the platform.

A. GENERAL CONDUCT

1.Our aim is to foster a community where high-quality ideas and content about crypto are exchanged; please stay on-topic and contribute meaningful posts that are fair, balanced, and unbiased.

2.Show respect for the community and for diverse viewpoints. Engage in debates over ideas and perspectives, but avoid making it personal.

3.No trolling or spamming.

4.Maintain integrity and honesty at all times. Avoid posting false, unsubstantiated, or misleading information, allegations, misrepresentations, or impersonations.

5.Do not provoke or encourage illegal or unethical actions.

6.Do not use our platform to influence trading activities.

7.Honor the privacy and intellectual property rights of others.

8.Do not disclose your sensitive data or the sensitive data of others (like wallet or contract addresses) on the platform, nor should you request such information from others.

9.Do not pretend to be another user on the platform. Creating content under someone else’s name or account is strictly forbidden. Do not copy others’ original works or engage in any activity that infringes on third-party intellectual property rights. If we ask, you must provide us with sufficient information or documents to verify (to our sole and absolute satisfaction) that you are adhering to all applicable terms and conditions for using the platform (including, but not limited to, these creator content guidelines).

B. SPECIFIC SCENARIOS

1.Marketing-related posts: Marketing is allowed as long as it is not targeted at users in a specific country. If a post is sponsored, make this clear. Please be aware that you are not permitted to use our platform to encourage users to sign up for or pay for any products or services, or to invite users to join other community groups (including, but not limited to, those focused on trading activities). We reserve the right to reject, remove, or modify posts to ensure adherence to legal and regulatory standards or for other reasons, which is at our sole and absolute discretion.

2.Sharing trading experiences: You are welcome to share your personal trading experiences with the community. Ensure that your statements and intentions are honest, and does not involve any investment advice. Do not disguise promotions for sponsored projects, products, or services as personal trading stories.

3.No financial advice: You should not offer financial advice or imply in any way that Gate is providing financial advice. “Financial advice” refers to guiding others on investing, choosing, buying, or selling financial products.

4.No endorsement: You are solely responsible for the content you post and its outcomes. The acceptance of your post for publication does not imply endorsement of your views or indicate that we share a similar perspective. C. VIOLATIONS

1.Gate will continuously review all content on the platform to ensure compliance with all applicable rules. Typically, we will issue a warning for confirmed violations, especially for first-time offenses. If further violations or inappropriate conduct are detected, your account will be marked with violation records, and you may face restrictions on using Gate for certain periods. Please note the following as well: Violations (if any) will be determined based on user reports or as identified by Gate. 2.Gate reserves the right of final determination and interpretation in respect of all matters and rules relating to your access and use of Gate’s service, as well as the imposition of appropriate penalties, if any.
